Alibre Power Affiliate Program

Terms and Conditions

1. Alibre will pay a commission on any purchase that has passed the money-back guarantee period, and that has properly been referred through a Power Affiliate Program member's link. Commission rates are based on the actual sales price of software purchased, exclusive of taxes and other fees. Commission structure is as follows:
   1. 20% for the first ten (10) licenses of Alibre Design software sold in a calendar year
   2. 25% for additional software licenses sold in that same calendar year
   3. 25% for all licenses sold in a calendar year if, during the previous calendar year, a total of thirty (30) or more licenses were sold.
2. All accounts will be settled in full within 45 days of the end of every month, subject to terms A and C
3. If the total due for the current accounting period does not reach US$100.00 the outstanding amount will be carried over to the next accounting period.
4. No payment will be made until after the transaction has cleared and the return period has passed.
5. Commission will be paid on original license sales only.
6. If a potential customer is referred by more than one partner and a sale is made, Alibre, in its sole discretion, will
   determine which partner will be paid a commission.
7. A referral commission will not be paid on orders that are fraudulent, result in a chargeback or a customer refund.
8. We reserve the right to decline or cancel an Alibre Power Affiliate Program application or participation, without reason or cause.
9. This agreement may be terminated by either party at any time. Upon termination all outstanding accounts, up to and
   including the termination date, will be settled and paid within 30 days of the end of the next accounting period. In the
   event that a Power Affiliate account has a negative balance, Power Affiliate agrees to pay Alibre the applicable amount
   within 30 days.
10. Power Affiliates will NOT
    1. create identical copies of any Alibre website.
    2. use iframes to frame an Alibre website.
    3. create identical copies of Alibre page content on their own websites. Please be original or use the promotional pages supplied.
    4. engage in email spam in the promotions of Alibre products.
    5. engage in search engine spam as specified by the current Google and Yahoo guidelines, in any promotions of Alibre products.
    6. submit their Alibre Power Affiliate links to Search Engines for indexing.
11. Power Affiliate partners are given a non-exclusive permission to use Alibre logos and trademarks on their websites for the purpose of promoting Alibre products.
12. Power Affiliate partners are given a non-exclusive permission to run Pay Per Click campaigns, such as Google AdWords, targeting Alibre related keywords, including any Trademarked Alibre terms as long as the landing page includes a prominent link to the applicable Alibre product and the page copy is positively promoting the Alibre Product.
13. Alibre is in no way responsible or liable for damages, loss or injury to any party resulting from participation in this Program.
14. Alibre, Inc. reserve the right to change the terms and conditions without notice at anytime.
